        tors and administrators and agree to undertake to Indemnify the Compa-
        ny against all claims, charges,expenses,costs damages and losses which
        the  Company  may incur or suffer by reason of or  in  consequence  of
        having issued Duplicate Certificate to me/us.

        I/We  further agree and undertake to deliver or cause to be  delivered
        to  the  Company the original share certificate when it is  found  and
        also  to  take at my/our costs,any action or proceedings that  may  be
        necessary or the Company may require me/us to take recovery thereof or
        that may be incidental thereto.
